U-Subscribe Terms and Conditions

These Terms govern your participation in U-Subscribe on Univar Specialty Consumables.co.uk and are between you and Univar Specialty Consumables and/or its affiliates ("Univar Specialty Consumables" or "Us" or "We”). The Terms constitute the entire agreement between you and Univar Specialty Consumables, as appropriate in relation to U-Subscribe. Please note that your use of the univarSC.com website is also governed by our Conditions of Use & Sale, as well as all other applicable terms, conditions, limitations and requirements (including Third Party Seller terms, conditions, limitations and requirements that may apply), in each case as may be modified from time to time, all of which are incorporated into these Terms. Please read these Terms carefully. By placing an order through U-Subscribe, you confirm your acceptance of these Terms. Please see our Privacy Notice and our Cookies Notice.

U-Subscribe Benefits

U-Subscribe offers a discount off the then-current purchase price for regularly scheduled deliveries of U-Subscribe Products on univarSC.com. The U-Subscribe benefits identified on the detail page for each U-Subscribe Product and the U-Subscribe help pages form part of these Terms.

Eligible Purchases

Only selected products sold on univarSC.com by Univar Specialty Consumables qualify for U-Subscribe ("U-Subscribe Products"). U-Subscribe Products are identified as such on their detail page. A list of U-Subscribe Products currently available can be found on the U-Subscribe store. [The selection of U-Subscribe Products may change from time to time. U-Subscribe Products exclusive to Univar Specialty Consumables are only eligible for U-Subscribe by Univar Specialty Consumables members.] U-Subscribe orders are subject to delivery restrictions.

You need a univarSC.com online account to register for and purchase items through U-Subscribe. Your subscriptions are personal to you and you may not assign or transfer your subscription(s) or any of the benefits associated with U-Subscribe to any third party.

Ordering Process and Product Availability

Once you have subscribed to regular deliveries for U-Subscribe Products, products will be ordered and delivered automatically at the delivery frequency chosen by you at the time of subscription without any further action required by you. Some subscription and product details (including price, discount and availability) may change over time. Each U-Subscribe order will be subject to the then applicable subscription and product details. Before each U-Subscribe order is dispatched to you, you will receive an order confirmation message including order details and instructions for cancelling or modifying your order if you wish to do so ("Order Confirmation"). You will also be sent an e-mail at the address associated with your account or a message on the message centre in Your Account confirming to you that we have, dispatched the U-Subscribe Product to you ("Dispatch Confirmation").

Each U-Subscribe order constitutes a separate offer from you to purchase a U-Subscribe Product. The contract of sale for each U-Subscribe Product is concluded when the product is dispatched to you and you receive a Dispatch Confirmation.

If any U-Subscribe Product is not available on the date it is scheduled to be dispatched to you, you will be notified of the delay and we will attempt to fulfil the order within two weeks of the original dispatch date. If the U-Subscribe Product becomes available during that two week period, it will be dispatched to you without any further action required by you. Delay due to non-availability of any U-Subscribe Product will not affect the U-Subscribe discount applicable to any other U-Subscribe subscriptions you may have or to future orders for the same U-Subscribe subscription.

If any U-Subscribe Product is no longer available for U-Subscribe, your subscription may be changed to a suitable replacement. You will be notified of this change. If you do not wish to continue with your subscription for a replacement product, you may cancel your subscription.

Price, Payment and Renewal

For each U-Subscribe order you will be charged the price (including VAT where appropriate) of each U-Subscribe Product on the day your U-Subscribe order is processed, as detailed in the Order Confirmation, less the applicable U-Subscribe discount. 

The U-Subscribe discount you receive will be the discount applicable to your U-Subscribe Products at the time your order is processed, as detailed in the Order Confirmation. Temporary discounts and time limited or special offers only apply to U-Subscribe orders placed while that discount or offer is available.

Your U-Subscribe subscription(s) continue until cancelled. The price of each U-Subscribe order will be charged to the payment method used to create your subscription. If we are unable to complete your U-Subscribe order using the payment method you used to create your subscription or otherwise indicated by you, we will attempt to take payment three times. If we do not have another payment method on record for you or are unable to charge any payment method we have on record for you for your U-Subscribe orders, your U-Subscribe subscription(s) will be cancelled.

Cancellation or Modification of a U-Subscribe Subscription

You may modify or cancel your U-Subscribe subscription(s) at any time. Cancellation or modification will not affect U-Subscribe orders for which you have already received Dispatch Confirmation. Details on how to cancel your subscription(s) can be found in the U-Subscribe dedicated Help page.

We retain the right to cancel your subscriptions at any time. If your subscription is cancelled, you will be notified and you will only be charged for U-Subscribe orders for which you have already received a Dispatch Confirmation. Failure to insist upon or enforce your strict compliance with these Terms will not constitute a waiver of any of our rights.

If a U-Subscribe subscription(s) is cancelled, you will only be charged for the U-Subscribe orders dispatched to you and no further U-Subscribe orders for that U-Subscribe Product will be placed. Cancellation of a U-Subscribe subscription for any reason might decrease the discounts applicable to your remaining U-Subscribe subscriptions. You can check the U-Subscribe discount applied to your current subscriptions from Your Account.

If you reactivate a U-Subscribe subscription that you previously cancelled, the discount applicable to your reactivated subscription may not be the same discount that was in effect prior to cancellation. The new discount will be applied to your future orders of that U-Subscribe subscription.

If any problems arise with your delivery address, Univar Specialty Consumables account or payment method, which we are unable to address, we will notify you via e-mail using the e-mail address associated with your subscription or via the message centre of Your Account and your U-Subscribe subscription(s) will be automatically placed on hold. No additional U-Subscribe orders will be processed or dispatched until the problem is resolved.

Limitation of Liability

Without prejudice to the limitation of liability provision set out in the univarSC.com Terms and Conditions of Sale or any applicable Third Party Seller terms and to the maximum extent allowed by applicable law, our maximum aggregate liability to you  under or in connection with your U-Subscribe subscription and the supply by us and receipt by you of U-Subscribe Products (howsoever caused or arising, and including for negligence), will not exceed the amount of all U-Subscribe subscription payments actually made by you in the twelve (12) months preceding the event giving rise to liability.

Nothing in these Terms limits or excludes your statutory rights as consumer responsibility for death or personal injury caused by our or any Third Party Seller's negligence or wilful misconduct.

Amendments

We may change these, as appropriate, and we may change terms applicable to U-Subscribe at any time by posting the revised terms on the Univar Specialty Consumables.co.uk website. Your continued participation in U-Subscribe constitutes your acceptance of those changes. If you do not agree to any changes to these Terms, you must cancel your U-Subscribe subscription(s). If any provision of this Terms, as may be amended from time to time is found to be invalid, void, or for any reason unenforceable, that provision or change is deemed severable and will not affect the validity and enforceability of any remaining terms and conditions.

These Terms and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or its subject matter or formation (including non-contractual disputes or claims).
